Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AlgoCrucible software and website (together, the "Service"), provided by AliceAmbrose Capital Inc. ("AlgoCrucible", "we", "us"). By downloading, installing, purchasing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What AlgoCrucible is — and is not

AlgoCrucible is desktop software that analyzes, optimizes, and stress-tests trading strategies you run in NinjaTrader 8, and models the likelihood of passing proprietary-trading-firm evaluations. It is a research and analysis tool only.

AlgoCrucible is not, and does not provide, financial, investment, trading, tax, or legal advice; it is not a broker, dealer, commodity trading advisor, or signal service; and it does not guarantee any trading result or that any evaluation will be passed. All outputs are hypothetical, model-based estimates. You are solely responsible for your trading decisions.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service.

3. License grant

Subject to these Terms and your payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Service for your own use, on the number of machines permitted by your plan. Plans (Free, Trader, Studio) unlock features as described at the point of purchase.

4. License restrictions

You may not: (a) resell, sublicense, rent, share, or redistribute the Service or your license keys; (b) reverse engineer, decompile, or disassemble the Service, or attempt to derive its source code or signing keys, except to the extent this restriction is prohibited by law; (c) circumvent or tamper with licensing, activation, or usage limits; (d) use the Service to build a competing product; or (e) remove or alter any proprietary notices.

5. License keys & activation

License keys are bound to your machine(s) up to your plan's activation limit. Keep your keys confidential; you are responsible for all use under your keys. We may deactivate keys that are shared, resold, or otherwise used in breach of these Terms.

6. Purchases, subscriptions & billing

Paid plans are sold and processed by our authorized reseller and Merchant of Record, Paddle; your purchase is also subject to Paddle's Buyer Terms and privacy policy, and Paddle collects and remits applicable taxes. Subscriptions renew automatically (monthly or annually) until cancelled. You may cancel at any time using the billing link in your purchase email; cancellation stops future renewals. Fees for future terms may change on notice. Refunds are governed by our Refund Policy.

7. Free tier and trial

We may offer a Free tier and a one-time trial to let you evaluate the Service. These are provided "as is" and may be changed or discontinued at any time.

8. Third-party software and marks

The Service requires NinjaTrader 8, a separate third-party product governed by its own license and terms, which you are responsible for obtaining and complying with. NinjaTrader® is a trademark of NinjaTrader, LLC and is used here for descriptive purposes only. AlgoCrucible is independent and is not affiliated with, endorsed by, or sponsored by NinjaTrader or any proprietary-trading firm.

9. Risk disclosure and no guarantees

Trading futures and other leveraged products involves substantial risk of loss and is not suitable for everyone. Hypothetical and backtested performance results have inherent limitations. Unlike an actual performance record, simulated results do not represent actual trading, are generally prepared with the benefit of hindsight, and involve no financial risk. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown. Pass-probability, robustness, and certification outputs are model-based estimates produced under simplifying assumptions from limited data — they are not predictions or guarantees. Nothing provided by the Service or by us is financial advice. You are solely responsible for your trading decisions and their outcomes.

10. Intellectual property

The Service, including its software, methodology, models, and content, is owned by us or our licensors and is protected by intellectual-property laws. These Terms grant you a license to use the Service, not a sale of it or any rights in it.

11. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and any warranty that the Service will be uninterrupted or error-free. Some jurisdictions do not allow certain warranty exclusions; some of the above may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost data, or trading or investment losses, arising out of or relating to the Service, even if advised of the possibility. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us (or Paddle for the Service) in the twelve (12) months before the event giving rise to the claim.

13. Indemnification

You will indemnify and hold harmless AlgoCrucible and its owners, officers, and agents from any claims, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your trading activity, or your breach of these Terms.

14. Termination

We may suspend or terminate your access for breach of these Terms. On termination, your license ends and you must stop using and delete the Service. Sections that by their nature should survive (including 9–13) will survive termination.

15. Changes

We may modify the Service or these Terms. For material changes to the Terms we will update the date above and, where appropriate, provide notice. Your continued use after changes take effect constitutes acceptance.

16. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws rules, and the courts located in the Province of Ontario, Canada will have exclusive jurisdiction, except where prohibited by applicable consumer-protection law.

Risk Disclosure: Futures and forex trading contains substantial risk and is not for every investor. An investor could potentially lose all or more than the initial investment. Risk capital is money that can be lost without jeopardizing one's financial security or lifestyle. Only risk capital should be used for trading and only those with sufficient risk capital should consider trading. Past performance is not necessarily indicative of future results.

Hypothetical Performance Disclosure: Hypothetical performance results have many inherent limitations, some of which are described below. No representation is being made that any account will or is likely to achieve profits or losses similar to those shown; in fact, there are frequently sharp differences between hypothetical performance results and the actual results subsequently achieved by any particular trading program. One of the limitations of hypothetical performance results is that they are generally prepared with the benefit of hindsight. In addition, hypothetical trading does not involve financial risk, and no hypothetical trading record can completely account for the impact of financial risk of actual trading. For example, the ability to withstand losses or to adhere to a particular trading program in spite of trading losses are material points which can also adversely affect actual trading results. There are numerous other factors related to the markets in general or to the implementation of any specific trading program which cannot be fully accounted for in the preparation of hypothetical performance results and all of which can adversely affect trading results.
